Terms & Conditions

Intelligence Tec ("Agency", "we", "us") provides e-commerce development and design services including but not limited to Shopify development, WordPress/WooCommerce development, React frontend development, Node.js backend development, UI/UX design, and conversion rate optimization.

By engaging our services, you ("Client", "you") agree to these terms and conditions. All projects are subject to a signed Statement of Work (SOW) that outlines specific deliverables, timelines, and pricing.

We reserve the right to refuse service to anyone for any reason at any time.

All projects begin with a discovery phase where we define scope, deliverables, timeline, and pricing. Changes to scope after project commencement may result in additional fees and timeline adjustments.

Deliverables are outlined in the Statement of Work and may include design mockups, source code, documentation, and deployment assistance.

We retain the right to showcase completed projects in our portfolio unless otherwise agreed in writing.

Payment terms are specified in each Statement of Work. Typical payment structure includes: 50% deposit upon project commencement, 25% at midpoint milestone, and 25% upon project completion.

Invoices are due within 14 days of issuance unless otherwise specified. Late payments may incur a 5% monthly interest charge.

We accept payment via bank transfer, PayPal, and major credit cards. All prices are in USD unless otherwise stated.

Refunds are handled on a case-by-case basis and are subject to work completed. Deposits are non-refundable.

Clients are responsible for providing timely feedback, content, assets (images, logos, copy), and access to necessary platforms (Shopify admin, hosting, domain registrar, etc.).

Delays in client feedback or asset provision may result in project timeline extensions.

Clients must ensure they have the legal right to use all content, images, and materials provided to us.

Upon full payment, clients receive ownership of custom code and designs created specifically for their project.

We retain ownership of reusable components, frameworks, and tools developed by our agency.

Third-party assets (fonts, stock images, plugins) are subject to their respective licenses. Clients are responsible for obtaining necessary licenses.

We retain the right to use project work in our portfolio and marketing materials unless a non-disclosure agreement is in place.

We warrant that services will be performed in a professional manner consistent with industry standards.

We provide a 30-day bug fix warranty after project launch for issues directly related to our work. This does not cover third-party plugin issues, hosting problems, or client modifications.

We do not guarantee specific business results (sales, traffic, conversions) as these depend on many factors outside our control.

Our total liability for any claim arising from our services is limited to the amount paid for the specific project.

We agree to keep confidential any proprietary information shared during the project. This includes business strategies, customer data, and unreleased product information.

Confidentiality obligations do not apply to information that is publicly available or independently developed.

Upon request, we will sign a mutual Non-Disclosure Agreement (NDA) before project commencement.

Either party may terminate the agreement with 14 days written notice.

Upon termination, client is responsible for payment for all work completed up to the termination date.

We will provide all completed deliverables upon receipt of final payment.

Our services may integrate with third-party platforms (Shopify, WordPress, payment processors, etc.). We are not responsible for changes, outages, or issues with these third-party services.

Clients are responsible for maintaining their own hosting, domain registration, and third-party service subscriptions.

We may recommend third-party tools and services but do not guarantee their performance or availability.

We collect and process personal information in accordance with GDPR and applicable data protection laws.

Information collected includes: name, email, company details, and project requirements.

We use this information solely for project delivery and communication. We do not sell or share client information with third parties except as required by law.

Clients have the right to request access to, correction of, or deletion of their personal data.

Any disputes arising from these terms will first be attempted to be resolved through good-faith negotiation.

If negotiation fails, disputes will be resolved through binding arbitration in accordance with Ukrainian law.

The prevailing party in any legal action is entitled to recover reasonable attorney fees and costs.

We reserve the right to modify these terms at any time. Changes will be posted on our website with an updated effective date.

Continued use of our services after changes constitutes acceptance of modified terms.

For active projects, terms in effect at project commencement will apply unless mutually agreed otherwise.
